For example, if a borrower is using a premium domain to host a high-revenue lead generation site, and a coordinated DDoS attack renders the domain inaccessible for weeks, the resulting revenue shortfall could impair the borrower’s ability to service the loan. Without a force majeure clause accounting for cyberattacks and infrastructure failures, the borrower could be deemed in default despite the lack of fault. Conversely, a well-drafted clause would provide temporary relief, pause repayment obligations, and potentially extend the maturity date of the loan without triggering default provisions. The application of force majeure becomes even more nuanced when domain transfers are involved. Insurers may require force majeure clauses to be tightly defined and coupled with technical safeguards such as registrar locks, domain escrow, and redundancy protocols. As domains become high-value, revenue-generating assets used in complex financial structures, the infrastructure surrounding them—registrars, DNS networks, regulatory frameworks, and monetization channels—must be acknowledged as potential points of systemic failure. Force majeure language must evolve to reflect these realities, ensuring that neither borrowers nor lenders are unfairly penalized when uncontrollable digital events interrupt contract performance.
